Terms of Service

1. Agreement to Terms
By accessing or using the Vibe to Production platform (“Service”), operated by Human Co-Pilot Inc. (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
2. Description of Service
Vibe to Production provides automated code analysis and certification services for software applications, including but not limited to:
- Security vulnerability assessments
- Performance analysis and recommendations
- Accessibility compliance checking
- Code quality evaluation
- Certification badge issuance for qualifying applications
The Service is designed to provide guidance and recommendations. It does not guarantee the absolute security, performance, or compliance of any analyzed code.
3. User Accounts and Eligibility
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security of your account credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
You must be at least 18 years of age or have the legal capacity to enter into contracts in your jurisdiction to use this Service. By using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
4. Code Submission and Analysis
4.1 Code Access
When you connect your code repositories or submit code for analysis, you grant us a limited, non-exclusive license to access, analyze, and process your code solely for the purpose of providing the Service. This license terminates when you disconnect your repository or delete your account.
4.2 How We Protect Your Code
We take the protection of your code seriously:
- No Storage: Your source code is processed in real-time and is not permanently stored on our servers. Analysis results and metadata may be retained, but raw source code is not.
- Encryption: All data transmission occurs over TLS 1.3 encrypted connections. Any temporary data is encrypted at rest.
- Isolation: Each analysis runs in an isolated, sandboxed environment that is destroyed after completion.
- No Training: Your code is never used to train machine learning models or shared with third parties.
- Access Controls: Only authorized personnel with a legitimate business need can access analysis infrastructure, and all access is logged and audited.
- Compliance: We maintain SOC 2 Type II compliance for our security practices.
4.3 Your Responsibilities
You represent and warrant that:
- You own or have the right to submit all code you provide for analysis
- Your code does not infringe upon any third-party intellectual property rights
- Your code does not contain malicious content designed to harm our systems or other users
- You will not submit code that violates any applicable laws or regulations
5. Certification and Badges
Upon successful completion of an audit meeting our certification criteria, you may receive a certification badge. By accepting and displaying a certification badge, you agree that:
- The badge applies only to the specific version of code that was analyzed
- Significant changes to your codebase may invalidate the certification
- We may revoke certification if we discover the analysis was based on incomplete or inaccurate information
- The badge must be displayed in accordance with our brand guidelines
- Certification is not a guarantee of security, performance, or compliance
6. Fees and Payment
Certain features of the Service may require payment. All fees are stated at the time of purchase and are non-refundable except as required by law or as explicitly stated in our refund policy. We reserve the right to modify pricing with 30 days' notice for existing subscriptions.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will meet your specific requirements
- The Service will be uninterrupted, timely, secure, or error-free
- Analysis results will be accurate, reliable, or complete
- Any defects in the Service will be corrected
- Certification guarantees the absence of security vulnerabilities or defects
Our analysis tools are designed to identify common issues but cannot detect all possible vulnerabilities, performance problems, or code quality issues. You remain solely responsible for the security, performance, and compliance of your applications.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HUMAN CO-PILOT INC., ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your use or inability to use the Service
- Any unauthorized access to or alteration of your data
- Any third-party conduct on the Service
- Security breaches, vulnerabilities, or defects in your code that were not identified by our analysis
- Any other matter relating to the Service
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
9. Indemnification
You agree to indemnify, defend, and hold harmless Human Co-Pilot Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
- Your access to or use of the Service
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
- Any claim that your code caused damage to a third party
- Your reliance on certification or analysis results
10. Intellectual Property
The Service, including its original content, features, and functionality, is owned by Human Co-Pilot Inc. and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You retain all rights to your code. We claim no ownership over any code you submit for analysis.
11. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination:
- Your right to use the Service will cease immediately
- We may delete your account data in accordance with our data retention policies
- Any certifications issued may be revoked
- Provisions of these Terms that should survive termination will remain in effect
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Wilmington, Delaware, and the decision of the arbitrator shall be final and binding.
YOU AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
13. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
14. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Human Co-Pilot Inc. regarding the Service and supersede all prior agreements and understandings.
